The work contract is among the most frequently used contract types in business and everyday life – from construction work to software delivery to custom manufacturing. Problems arise when the work is delayed, does not meet the agreed quality, or the price unexpectedly rises. A well-drafted contract can protect the client from most of these situations.
The foundation is a precise and unambiguous description of the work. The more specifically you define what the result should be – scope, parameters, materials used, technical requirements – the less room is left for later disputes. Vague wording such as „standard execution“ is risky, because each party may interpret it differently.
We recommend agreeing on the price as clearly as possible and setting out the conditions under which it may change. If the contract lacks clear rules for additional work, the client may face an invoice they did not anticipate. Tying payments to the acceptance of individual parts of the work, rather than paying the full amount in advance, also helps.
The mechanism for handover and acceptance of the work is especially important. The contract should specify how inspection takes place, what counts as a defect, and what rights the client has if the work does not match the agreement. Alongside this, it is worth agreeing on a quality warranty and a clear procedure for claiming identified defects.
The client is also protected by agreeing on a contractual penalty for delay or for failing to meet quality standards, and the option to withhold part of the payment until defects are remedied. Provisions on withdrawal from the contract in case the contractor seriously breaches its obligations are equally useful. These tools give the client real leverage, not just a theoretical right.
